PLANNED CONCENTRATION OF THE COMPANIES HSE, ECE AND E3 IN COMPLIANCE WITH COMPETITION RULES

The Slovenian Competition Protection Agency (AVK) issued on Friday, 29 November 2019 a positive decision regarding the notification of concentration of the companies HSE, Elektro Gorenjska, Elektro Primorska and Elektro Celje in the planned acquisition of joint control of the companies ECE d.o.o. and E3 d.o.o. The AVK does not oppose such integration in the retail electricity market, subject to observance of certain corrective measures. By agreeing to implement the corrective measures, HSE, which sees the decision as an important step in the implementation of a vertical integration strategy, has committed itself to providing certain free sale capacities in the domestic market in a transparent and non-discriminatory way in the five-year period following the successful conclusion of the vertical integration.

The decision represents a successful conclusion to the agency’s assessment of the effects of a possible vertical integration of HSE and opens up possibilities for integration of the companies and their joint presence in the retail electricity market. In our opinion, the integration will also bring greater competitiveness to the market, with positive effects for consumers, as the joint company will provide comprehensive energy services.
